1. Acceptance of Terms
By creating an account or using AIUGCs ("the Platform," "we," "us," or "our"), you agree to these Terms of Service and our Privacy Policy. These terms apply to all users, including brands, creators, and visitors.
If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.
2. Description of Service
AIUGCs is a curated marketplace that connects brands with AI UGC (user-generated content) creators. Brands post bounties describing content they need; creators submit work; brands approve or request revisions; payment is released upon approval.
We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.
3. User Accounts
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
You must be at least 18 years old to use the Platform. By creating an account, you represent that you meet this requirement.
We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or otherwise harm the Platform or its users.
4. Creator Terms
Creators must apply and be approved by our team before accessing the bounty board. Approval is at our sole discretion and is based on content quality, professionalism, and platform fit.
By submitting work to a bounty, you represent that: (a) the content is original and created by you; (b) you hold all necessary rights to the content; (c) the content does not infringe any third-party intellectual property rights; and (d) the content complies with all applicable laws.
Upon brand approval of a submission, you grant AIUGCs and the purchasing brand a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and display the content for the purposes described in the bounty brief.
5. Brand Terms
Brands must apply and be verified before posting bounties. We reserve the right to reject any brand application or remove any bounty that does not meet our quality standards or violates these terms.
When posting a bounty, you must provide an accurate, complete brief. You agree not to request content that is illegal, deceptive, defamatory, or otherwise harmful.
Payment is required upfront when posting a bounty. Funds are held in escrow and released to the creator upon your approval of their submission.
6. Payments and Fees
AIUGCs charges a platform fee on each completed transaction. The current fee structure is displayed on the Platform and may be updated with notice.
Payments are processed through Stripe. By using the payment features, you agree to Stripe's Terms of Service. We do not store full payment card details.
Creators receive payment after a brand approves their submission, minus the platform fee. Payouts are processed through Stripe Connect and are subject to Stripe's payout schedule and policies.
Refunds are handled on a case-by-case basis. If a creator fails to deliver or a bounty expires without a satisfactory submission, brands may be eligible for a refund at our discretion.
7. Intellectual Property
The AIUGCs platform, including its design, code, trademarks, and content (excluding user-submitted content), is owned by AIUGCs and protected by intellectual property laws.
User-submitted content remains the property of the creator until a brand approves and pays for it, at which point the license described in Section 4 applies.
You may not copy, modify, distribute, or create derivative works of the Platform without our express written consent.
8. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any regulations
- Submit content that is defamatory, obscene, fraudulent, or violates third-party rights
- Attempt to circumvent the Platform's payment system or engage in off-platform transactions
- Impersonate any person or entity or misrepresent your affiliation
- Scrape, crawl, or otherwise extract data from the Platform without permission
- Interfere with or disrupt the Platform's infrastructure or security
- Use the Platform to send spam or unsolicited communications
9. Disclaimers and Limitation of Liability
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses.
To the maximum extent permitted by law, AIUGCs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, even if we have been advised of the possibility of such damages.
Our total liability to you for any claims arising from these terms or your use of the Platform shall not exceed the greater of (a) $100 or (b) the amount you paid to us in the 12 months preceding the claim.
10. Termination
Either party may terminate this agreement at any time. You may close your account by contacting us at [email protected]. We may suspend or terminate your account immediately if you violate these terms.
Upon termination, your right to use the Platform ceases immediately. Sections 6, 7, 9, and 12 survive termination.
11. Changes to Terms
We may update these terms from time to time. We will notify you of material changes by posting the new terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after changes constitutes acceptance of the new terms.
12. Governing Law
These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
