Brand Agreement

This Brand Agreement ("Agreement") governs your use of the AIUGCs platform as a brand. By applying for a brand account, being approved, and posting bounties, you agree to be bound by this Agreement in addition to our Terms of Service and Privacy Policy.

1. Eligibility and Verification

To post bounties on AIUGCs, you must: (a) represent a legitimate business, brand, or marketing entity; (b) complete our brand application and verification process; (c) be approved by our team; and (d) maintain a valid payment method on file through Stripe.

We reserve the right to approve or reject any brand application at our sole discretion. Approval may be revoked at any time if you violate this Agreement or our platform standards. We conduct verification to maintain the quality and trust of our marketplace for creators.

2. Posting Bounties

When posting a bounty, you agree to:

  • Provide an accurate, complete, and honest creative brief that clearly describes the content you require.
  • Set a fair and reasonable payout amount that reflects the scope and complexity of the work requested.
  • Set a realistic deadline that gives creators sufficient time to produce quality content.
  • Respond to creator submissions in a timely manner (within 5 business days of submission).
  • Not use bounties to solicit content that violates any applicable law or infringes on third-party rights.

We reserve the right to remove any bounty that violates our content standards or this Agreement.

3. Payment and Escrow

When you approve a creator's submission, payment is processed immediately through Stripe. The bounty amount is charged to your payment method, and the creator receives their payout (minus the platform fee) within 2–5 business days.

You are only charged when you approve a submission. You are not charged for submissions you decline or request revisions on. There is no upfront escrow requirement — payment occurs at the point of approval.

All payments are processed in USD through Stripe. You are responsible for any applicable taxes, duties, or charges imposed by your jurisdiction in connection with your use of the platform.

4. Platform Fees

AIUGCs charges a platform fee of 10% on each approved submission. This fee is added to the creator's payout amount and charged to your payment method. For example, if a bounty pays $100 to the creator, you will be charged $110 (the $100 bounty amount plus a $10 platform fee).

We reserve the right to modify the platform fee with 30 days' notice. Continued use of the platform after such notice constitutes acceptance of the new fee structure.

5. Content Review and Approval

Upon receiving a creator's submission, you have the following options:

  • Approve: Accept the submission and trigger payment to the creator. Once approved, the license described in Section 6 is granted.
  • Request Revision: Provide specific, constructive feedback and request the creator to revise and resubmit. You may request up to 3 revisions per submission.
  • Decline: Reject the submission if it does not meet the requirements of your brief. No payment is made for declined submissions.

You agree to review submissions in good faith and not decline submissions that meet your brief requirements in order to avoid payment. Repeated bad-faith declines may result in account suspension.

6. Intellectual Property

Upon approving a submission and completing payment, you receive a worldwide, perpetual, royalty-free, non-exclusive license to use, reproduce, modify, distribute, and display the content for commercial purposes, including in paid advertising campaigns across all channels.

The creator retains ownership of the content. The license granted does not transfer copyright ownership to you. You may not sublicense the content to third parties without the creator's written consent.

You are responsible for ensuring that your use of approved content complies with all applicable advertising standards, FTC guidelines, and platform-specific policies (e.g., Meta, TikTok, Google Ads).

7. Brand Responsibilities

As a brand on AIUGCs, you agree to:

  • Provide accurate information about your company, products, and services in your profile and bounty briefs.
  • Communicate professionally and respectfully with creators through the platform's messaging system.
  • Not request content that makes false or misleading claims about your products or competitors.
  • Comply with all applicable laws, including consumer protection, advertising, and data privacy regulations.
  • Not use the platform to collect creator personal data beyond what is necessary for the content brief.

8. Prohibited Conduct

As a brand, you must not:

  • Post bounties for illegal products, services, or activities.
  • Attempt to circumvent the platform by arranging payments directly with creators outside of AIUGCs.
  • Use the platform to solicit content that infringes on third-party intellectual property rights.
  • Harass, threaten, or abuse creators or other platform users.
  • Create multiple accounts or misrepresent your identity or company.
  • Reverse engineer, scrape, or otherwise misuse the platform's technology.

9. Refunds and Disputes

All payments for approved submissions are final and non-refundable. If you believe a creator has submitted fraudulent or plagiarized content, or content that materially misrepresents your brief, please contact us at [email protected] within 14 days of approval.

We will investigate disputes on a case-by-case basis. If we determine that a creator submitted content in bad faith, we may issue a credit to your account. We are not obligated to issue refunds but will act fairly in resolving disputes.

10. Account Suspension and Termination

We may suspend or terminate your brand account at any time if you: (a) violate this Agreement or our Terms of Service; (b) engage in fraudulent or deceptive conduct; (c) repeatedly decline submissions in bad faith; or (d) fail to maintain a valid payment method.

You may close your account at any time by contacting us at [email protected]. Closing your account does not affect any licenses already granted for approved content, nor does it cancel any pending payment obligations.

11. Representations and Warranties

By using the platform as a brand, you represent and warrant that: (a) you have the full right, power, and authority to enter into this Agreement on behalf of your company; (b) your participation does not violate any other agreement you are party to; (c) all information you provide is accurate and complete; and (d) you will comply with all applicable laws in connection with your use of the platform and the content you license.

12. Limitation of Liability

To the maximum extent permitted by law, AIUGCs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including lost profits, loss of data, or loss of goodwill. Our total liability to you for any claim arising from this Agreement shall not exceed the total fees paid by you in the three months preceding the claim.

We do not guarantee the quality, performance, or commercial success of any content created through the platform. Creator submissions are independent works, and we are not responsible for their effectiveness in your marketing campaigns.

13. Changes to This Agreement

We may update this Agreement from time to time. We will notify you of material changes via email or through the platform. Your continued use of the platform after such notice constitutes acceptance of the updated Agreement.
